General Terms and Conditions (GTC) of Preme Agency

Welcome to Preme Agency. These General Terms and Conditions (GTC) govern your use of our services, including the creation, delivery, and distribution of press releases, the Premeconnect platform facilitating connections between companies and journalists, our website, and any related offerings (collectively referred to as the “Service”). By accessing or using the Service, you agree to be bound by these GTC. If you do not agree, please refrain from using the Service.
1. Definitions
1.1 Preme Agency: Refers to Preme Agency, a company registered in Hungary, facilitating connections between journalists and sources, and providing press release services globally.
1.2 User: Any individual or entity using the Service, including journalists, sources, companies, or other registered members.
1.3 Journalist: A User who submits queries or requests for information via the Premeconnect platform.
1.4 Source: A User who responds to queries or provides information to Journalists via Premeconnect.
1.5 Customer: A User engaging Preme Agency for the creation, delivery, and distribution of press releases.
1.6 Content: Any material submitted, posted, or shared through the Service, including text, images, links, or other data.
2. Eligibility
2.1 To use the Service, you must be at least 18 years old and have the legal capacity to enter into a binding agreement under Hungarian and applicable EU law.
2.2 Preme Agency reserves the right to refuse access to the Service to any User at its sole discretion, in accordance with applicable laws.
3. Services Provided
3.1 Press Releases: Preme Agency creates, delivers, and distributes press releases within three (3) working days following receipt of all required information and full payment from the Customer. Working days are Monday to Friday, excluding public holidays at Preme Agency’s registered office in Hungary or the operational location specified in the contract.
3.2 Premeconnect: Premeconnect is a platform connecting Journalists seeking information with Sources offering expertise, insights, or responses. Preme Agency does not guarantee the accuracy, quality, or publication of responses provided by Sources or press releases distributed through the Service.
3.3 The Service is provided “as is,” and Preme Agency does not act as an agent, employer, or representative of any User. Specific service details (e.g., distribution reach, languages) are outlined in the respective offer or contract.
4. User and Customer Responsibilities
4.1 General:
- You agree to provide accurate, complete, and up-to-date information when registering or using the Service.
- You are responsible for maintaining the confidentiality of your account credentials and notifying Preme Agency immediately of any unauthorised use at support@premeagency.com.
- You must not use the Service for any unlawful purpose or in violation of Hungarian, EU, or other applicable regulations.
4.2 Journalists: - Queries must be clear, professional, and relevant to journalistic purposes.
- You agree not to misuse the Service for spam, unsolicited marketing, or purposes unrelated to journalism.
4.3 Sources: - Responses must be truthful, relevant, and provided in good faith.
- You must not submit Content that infringes third-party rights (e.g., intellectual property or privacy) or contains misleading information.
4.4 Customers (Press Releases): - You are obliged to submit all necessary information (e.g., texts, images, facts, contact details) for press release creation directly upon purchase.
- If required information is not provided or is incomplete within seven (7) working days from purchase, your entitlement to the press release service expires, and no refund will be issued, as the work process commences upon payment (see Clause 6.3).
5. Intellectual Property
5.1 Users retain ownership of the Content they submit to the Service.
5.2 By submitting Content, you grant Preme Agency a non-exclusive, worldwide, royalty-free licence to use, store, and display the Content solely for operating and promoting the Service, in compliance with applicable intellectual property laws.
5.3 Journalists using responses from Sources must attribute credit as agreed with the Source, where applicable. Preme Agency is not responsible for enforcing attribution agreements between Users.
6. Payment Terms (Press Releases)
6.1 Fees for press release services are specified in the respective offer or contract and are payable in advance. Preme Agency designates the international currency as US Dollars (USD); however, Customers may pay via credit card in their local currency through Stripe, with the applicable exchange rate determined by Stripe at the time of payment.
6.2 Payments are processed securely via Stripe, and invoices are due immediately upon receipt without deduction, unless otherwise agreed in writing.
6.3 If the required information is not provided within seven (7) working days as per Clause 4.4, the payment remains with Preme Agency as compensation for the work process already initiated (e.g., planning, resource allocation), and no refund will be provided.
7. Prohibited Conduct
7.1 You agree not to:
- Use the Service to distribute spam, unsolicited advertisements, or malicious content.
- Harass, defame, or intimidate other Users, in violation of Hungarian or EU anti-discrimination laws.
- Attempt to bypass security measures or interfere with the functionality of the Service.
- Submit Content that violates intellectual property rights, data protection laws (e.g., GDPR), or other applicable regulations.
8. Data Protection (GDPR Compliance)
8.1 Preme Agency processes personal data in accordance with Regulation (EU) 2016/679 (GDPR), Hungarian data protection laws, and, where applicable, other regional laws (e.g., CCPA for California, USA).
8.2 Users have the right to access, rectify, erase, restrict, or object to the processing of their personal data, and the right to data portability. To exercise these rights, contact support@premeagency.com.
8.3 Full details are provided in our Privacy Policy, which complies with GDPR requirements. By using the Service, you consent to data processing as described therein.
9. Limitation of Liability
9.1 Preme Agency does not endorse, verify, or guarantee the accuracy of Content shared through the Service, including press releases or Source responses.
9.2 To the fullest extent permitted by Hungarian and EU law, Preme Agency shall not be liable for indirect, incidental, or consequential damages arising from your use of the Service. Liability is limited to the order value for press release services.
9.3 Preme Agency is not responsible for the actions, omissions, or interactions between Users, including publication or non-publication of Content.
10. Indemnity
10.1 You agree to indemnify and hold Preme Agency harmless from any claims, losses, or damages (including reasonable legal fees) arising from your use of the Service or breach of these GTC, subject to applicable Hungarian and EU law.
11. Termination
11.1 Preme Agency may suspend or terminate your access to the Service at any time, with or without notice, for reasons including violation of these GTC or applicable laws.
11.2 You may discontinue using the Service by closing your account or ceasing access. Upon termination, your personal data will be handled per our Privacy Policy and GDPR obligations.
12. Right of Withdrawal (Consumer Protection)
12.1 If you are a consumer under EU Directive 2011/83/EU and Hungarian law, you may withdraw from this agreement within 14 days of registration without reason, unless you have actively used the Service (e.g., submitted a press release order or query) during this period.
12.2 To exercise this right, notify support@premeagency.com before the 14-day period expires. For press release orders, withdrawal is possible before work begins (see Clause 13.1).
13. Withdrawal and Termination (Press Releases)
13.1 Customers may withdraw from a press release order prior to submitting required information and before work begins, incurring a 20% processing fee of the order value. After work commences, withdrawal or termination is not possible.
13.2 Preme Agency may refuse or terminate press release orders if submitted Content violates applicable laws or Preme’s guidelines.
14. Changes to Terms
14.1 Preme Agency reserves the right to modify these GTC at any time. Changes take effect upon posting to the website or notification to Users, with prior notice where required by law (e.g., GDPR Art. 13).
14.2 Continued use of the Service after changes constitutes acceptance of the updated GTC.
15. Governing Law and Dispute Resolution
15.1 These GTC are governed by the laws of Hungary, without prejudice to mandatory consumer protection rights under EU law or other applicable jurisdictions (e.g., US state law where relevant).
15.2 Disputes shall be subject to the jurisdiction of Hungarian courts, unless EU consumer law permits proceedings in your country of residence.
15.3 Consumers may use the EU Online Dispute Resolution platform (http://ec.europa.eu/odr), providing our email: support@premeagency.com.
